Terms of Service

These Terms of Service ("Terms") govern your access to and use of the DCirrus website and platform (the "Platform") operated by DCirrus Cloud Computing Service Pvt. Ltd. ("DCirrus", "we", "us", or "our"). By accessing or using the Platform, you agree to be bound by these Terms.
How These Terms Apply
DCirrus is a business-to-business platform. Customers who engage DCirrus for the Virtual Data Room, RP Mitra, Do Vote, Section 29A IBC Report, Insolvency Process Management or any other DCirrus service typically sign a separate, negotiated customer agreement (order form, master services agreement or equivalent) that sets out the specific commercial terms, service levels, data handling and security commitments applicable to that engagement.
These Terms describe DCirrus's general posture on website use, acceptable use of the Platform, and our general practices on confidentiality, data security and data retention. Where a customer has an executed agreement with DCirrus, that agreement governs the paid engagement and controls over these Terms in the event of any conflict. These Terms apply on their own to general visitors, prospective customers evaluating the Platform, and any use of the Platform not otherwise covered by a signed agreement.
Acceptance of Terms
By creating an account or using the Platform, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
Description of Service
DCirrus provides secure, enterprise-grade solutions that simplify, secure and accelerate high-stakes business transactions and regulatory processes. The Platform includes:
- Virtual Data Room (VDR): a secure hub for high-stakes transactions, including M&A and due diligence, IPOs, secure document exchange and financing.
- RP Mitra: claim management for insolvency professionals.
- Do Vote: a secure electronic voting platform.
- Section 29A IBC Report: due diligence and eligibility assessments.
- Insolvency Process Management: managing claims, EOI/RFP processes and CoC voting for CIRP.
We serve customers across banking and finance, technology, media and telecom, real estate, energy, and healthcare and life sciences, among other industries. We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice, subject to any conflicting commitment in a signed customer agreement.
Account Registration
To use the Platform, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials.
- All activities that occur under your account.
- Notifying us immediately of any unauthorized use of your account.
Acceptable Use
You agree not to use the Platform to:
- Upload or share content that is unlawful, infringing, fraudulent, or that you do not have the right to disclose.
- Access, or attempt to access, a data room, document, ballot or account that has not been shared with you or that you are not authorized to view.
- Circumvent, disable, or interfere with access controls, permissions, watermarking or audit logging features of the Platform.
- Copy, redistribute, or remove confidentiality notices from documents made available to you through a data room, except as permitted by the party who shared them with you.
- Interfere with or manipulate any voting, claims or CIRP process conducted on the Platform.
- Distribute spam, malware, or any form of unsolicited content, or attempt to gain unauthorized access to the Platform or its related systems.
- Use the Platform in any way that could damage, disable, or impair its functionality, or in violation of applicable law, including regulatory requirements applicable to insolvency, securities or corporate governance processes conducted on the Platform.
Confidentiality of Data Room Documents
Documents and information uploaded to a DCirrus data room remain the confidential information of the customer who uploaded them (or of the party that customer represents). Access within a data room is controlled by permissions set by that customer's administrator.
DCirrus does not access, view, or use the content of documents uploaded to a data room, except: (i) as necessary to provide, maintain, or support the Platform; (ii) at the direction of the customer's authorized administrator; or (iii) where required by applicable law or a valid legal process. Specific confidentiality commitments for a given engagement are set out in that customer's signed agreement with DCirrus.
Data Security
DCirrus maintains administrative, technical and physical safeguards designed to protect the confidentiality, integrity and availability of data on the Platform, including access controls, role-based permissions, encryption in transit, and activity logging within data rooms. We may engage reputable third-party infrastructure and service providers (sub-processors) to help operate the Platform; those providers are only permitted to process data as needed to deliver the Platform and are bound by confidentiality obligations. Detailed security commitments, including any applicable certifications, audit rights and sub-processor lists, are set out in a customer's signed agreement with DCirrus where applicable.
Data Export & Retention After Termination
Retention and deletion of customer data following termination is governed by the terms agreed with that customer. As a general matter, DCirrus does not delete a customer's data until that customer has confirmed it may be deleted. Once a customer has confirmed deletion and completed export of its data, DCirrus promptly and permanently deletes that data from its systems.
Intellectual Property
Your content: You retain ownership of all documents and other content you upload to or generate through the Platform.
Our platform: The Platform, including its design, code, algorithms and documentation, is owned by DCirrus Cloud Computing Service Pvt. Ltd. and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.
Termination
You may close your account at any time by contacting us. We may suspend or terminate your access to the Platform if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users or our business. Upon termination, your right to use the Platform ceases immediately. Data export and retention following termination are handled as described above and, where applicable, as agreed in your customer agreement.
Limitation of Liability
To the maximum extent permitted by law, DCirrus Cloud Computing Service Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Platform. Where a signed customer agreement specifies liability terms for a paid engagement, those terms govern that engagement.
Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Platform will be uninterrupted or error-free.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delhi, India.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through a notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
